I want to wish all of you the Merriest Christmas and hope your New Year is prosperous.  That is most important, especially in these times of economic depression.

Anyway, one can only wish that you would come out and enjoy the benefits of the Club.  We are in the same depression that you are but it takes a little support from all of you for us to offer you the events we try to plan,  Once again the Branch is sponsoring the North East Region Spring Meet which will be held on the 19th of March 2011.  Hopefully some of you will come out and meet some of your old shipmates.  We will also have a special Friday Night Dinner on the 18th of March 2011. Thank you to all who come out and support your Club.  Merry Christmas, Happy Hanukah, Happy Kwanza, Etc.

The Branch By-Laws set forth in this enclosed are provided to assist the Officers, Board of Directors, Committee Members and Shipmates to better understand their responsibilities and duties within the Branch Organization. The By-laws have been updated to conform to the Constitution and By-Laws of the Fleet Reserve Association (6th Edition) and approved by the general assembly.

All shipmates in good standing with Branch 124 Inc. will be furnished a copy of these By-Laws.

Modifications, cancellations, and/or corrections to the By-Laws shall be made only in accordance with the amendments of the By-Laws.

These By-Laws shall not conflict with, or take precedence over, the Constitution and By-Laws of the Fleet Reserve Association (Art.12 Sec 1213 C&BL).

 

 

 

                 CONSTITUTION AND BY-LAWS FLEET RESERVE ASSOCIATION BRANCH 124, INC. LAKEHURST, NJ 08733

ARTICLE I

NAME

SECTION 101 The name of this organization, granted within the charter by the Fleet Reserve Association, is Lakehurst Branch 124, Inc., the aforesaid charter being dated 30 June 1949.

 

SECTION 102 Pursuant to Article 12, Section 1225, C&BL, all business transaction, other than regular branch procedure, shall comply with the laws and ordinances of the country, state, and municipality in which the Branch is located.

ARTICLE II

OBJECTIVE

SECTION 201 In addition to the objects set forth in the Constitution and By-Laws of the Fleet Reserve Association, the objects of Branch 124, Inc. are as follows;

To promote social intercourse between members and their families.  To keep members informed of local and national events affecting members of the Fleet Reserve Association, the United States Navy, the Marine Corps, and the Coast Guard, through the Branch newspaper and Branch meetings.

 

 

 

 

ARTICLE III

MEMBERSHIP

SECTION 301 Membership in the Lakehurst Branch 124, INC. shall be governed by Article 3, C&BL, Fleet Reserve Association.

ARTICLE IV

OFFICERS

SECTION 401: Branch # 124 Inc. shall elect the following:  

A. President

B. Vice President

C. Secretary

D. Treasurer

E. Five (5) Directors, plus one additional for each one hundred

(100) members of the branch.

F. The above officers with the Junior Past President shall

constitute the Branch BOD.

 

 

 

 

 

 

SECTION 402: Pursuant to article 12 Section 1217 (a), National C&BL, Fleet Reserve Association, nominations for Branch Officers shall be open at a meeting in March. They shall remain open until the election in April, then closed and officers elected for a period of one (1) year, except the Secretary shall be elected for a period of two (2) years.

SECTION 403: The elections shall be in the following order. Nominations for;

A. President closed and a written ballot taken.

B. Vice President

C. Secretary

D. Treasurer

E. Five (5) Board of Directors, plus one (1) additional Director for each one hundred (100) members of the Branch.

F. Majority vote shall elect. Officers shall not be elected by a mail vote.

 

 

 

 

 

 

SECTION 404: Officers shall be installed no later than the 1st Saturday in June by a member of the F.R.A. who has been designated by the Branch.

SECTION 405: The Branch Secretary shall promptly notify the Regional President and Vice President of their Region, and the National Executive Officers of the names and addresses of the officers installed in the Branch.

SECTION 406: In the event a vacancy occurs in the office of President, the Vice President shall at once, and without further formality, succeed to the title and duties of the President and complete the remainder of the term.

SECTION 407: In the event a vacancy occurs in the office of Vice President, Secretary, Treasurer, or Board of Directors, the vacancy shall be filled by a member appointed by the Board of Directors and approved by a majority vote of the members at the next Branch meeting.

SECTION 408: When a Branch officer is absent from three (3) consecutive Branch or scheduled Board of Directors meetings without a valid excuse, as determined by the Board of Directors, his/her office shall be declared vacant by the Presiding officer and Article IV, Section 406 or 407 complied with.

SECTION 409: Branch officers who find that they cannot properly fulfill the duties of their office should resign for the best interest of Lakehurst Branch 124 Inc.

ARTICLE V

MEETINGS

SECTION 501: In accordance with Article 12, Section 1214, C&BL, Lakehurst, Branch 124, Inc. shall hold not less than one meeting each month, in the Branch Home, 204 Union Avenue, Lakehurst, N J 08733.

SECTION 502: A quorum for a regularly scheduled Branch meeting shall consist of a majority of the members present.

SECTION 503: A log shall be maintained at all regularly scheduled Branch meetings and all members and visiting shipmates shall sign the log. The maintenance of this log book shall be the duty of the Branch Master -At-Arms.

SECTION 504: A meeting of the Board of Directors shall be called by the Presiding Officer not less than once a month at the Branch home. Upon written request of a majority of the Board of Directors, or if the Presiding Officer deems it advisable, additional meetings of the Board of Directors shall be held.

SECTION 505: A quorum of the Board of Directors shall consist of a majority of its members.

SECTION 506: Members of Lakehurst Branch 124, Inc. and invited guests may attend meetings of the Board of Directors. They may have a voice in the Board of Directors meeting when recognized by the Presiding Officer, but under no circumstances shall they have a vote in the proceedings.

SECTION 507: Regularly scheduled Branch meetings and Board of Director meetings shall be conducted under the rules set forth in Robert’s Rules of Order, Newly Revised, as per Article 15, Section 1503, Fleet Reserve Association C&BL.

ARTICLE VI

FINANCES

SECTION 601: All bank accounts, bonds and securities, property and goods, insurance policies, fidelity bonds, and any and all valuables belonging to the Branch shall be registered or listed in the name "Lakehurst Branch 124, Inc., Fleet Reserve Association" and all business transactions of whatever nature shall be transacted in the name of Lakehurst Branch 124, Inc., Fleet Reserve Association.

 

 

 

 

 

 

SECTION 602: All funds belonging to the Branch and documents which deserve a high degree of security are to be deposited in a bank or banks, said bank or banks to be designated by the Board of Directors of the Branch.

SECTION 603: All disbursements shall be made by properly drawn checks signed by the Treasurer, and countersigned by the Branch President. Checks shall not be drawn to cash.

SECTIONS 604: The Secretary shall receive three dollars ($3.00) for each dues paying member of the Branch included in the Per Capita Tax report for that month, as expense allowance.

SECTION 605: The Board of Directors is authorized to spend up to four hundred dollars ($400.00) to transact Branch business.

SECTION 606: A sum of money, not to exceed four hundred dollars ($400.00), may be advanced by the Board of Directors to the chairman of any committee when authorized by a two-thirds vote of the Board of Directors. The chairman of any such committee shall be responsible for such money received and shall render a full account of the monies expended or returned to the Treasurer.

SECTION 607: Funds in the amount of two hundred dollars ($200.00) will be advanced to the slate of delegates attending the Northeast Regional Convention. This fund is to be divided equally among those delegates who attend all business sessions of said convention. This fund shall be disbursed by the chairman of the delegation.

SECTION 608: A sum of money not to exceed four hundred dollars ($400.00) may be advanced to the slate of delegates attending the FRA National Convention. This fund shall be divided equally among those delegates who attend all business sessions of said convention. This fund shall be disbursed by the chairman of the delegation.  

SECTION 609: The books of the Treasurer shall be audited quarterly by the Branch Audit Board, and signed by the members of the board. A verbal report shall be made to the members at the next regularly scheduled meeting.

 

 

 

 

 

 

ARTICLE VII

AWARDS

SECTION 701: The President, Vice President, Secretary, and Treasurer shall be presented with a suitable pin at the termination of there term(s) in office in recognition of their service to the Branch. This award is to be made upon recommendation of the Board of Directors after they have determined that the outgoing officers have properly fulfilled their duties and served a minimum of six (6) months in office.

SECTION 702: The President shall be presented with a symbolic gavel, suitably engraved to commemorate his/her term in office.

SECTION 703: The cost of purchasing and engraving the above mementos is to be defrayed by the Branch.

SECTION 704: Any member of the Branch who shall sign up ten (10) new members within one year shall receive one (1) year free dues. Each additional ten (10) new or reinstated members shall also be entitled to an additional one (1) year dues free.

SECTION 705: Additional awards shall be in accordance with National C&BL.

ARTICLE VIII

COMMITTEE APPOINTMENTS

SECTION 801: Upon election to office and prior to installation, the President shall appoint the following standing committees;

Committee on Finance, Audit and Investments

Committee on Legislative Service

Committee on Membership and Retention

Committee on Americanism-Patriotism

Committee on Public Relations

Committee on Hospitals, Welfare, Rehabilitation

Committee on Youth Activities

Committee on Building and Grounds  

SECTION 802: The Branch President may appoint other special committees as the need arises.

 

 

 

SECTION 803: Unless otherwise noted, the first named member of any committee shall act as chairman of that committee.

 

 

SECTION 804: Branch committees shall perform the duties of their titles and shall function under the supervision of the committee chairman, who is responsible to the Branch President and the Board of Directors.

SECTION 805: The Branch President shall appoint a Master-At–Arms who shall perform such duties as the President may direct, and a Chaplain who shall perform nonsectarian services for the Branch.

SECTION 806: The Branch President may appoint a Parliamentarian to assist him/her in conducting the meeting and other matters requiring parliamentary guidance. The Parliamentarian’s voice is purely advisory. The final ruling must come from the chair.

SECTION 807: Duties of the committees;

Duties of the Branch Public Relations Committee; To foster good public relations for the Fleet Reserve Association in a well organized program, including Branch news, consistent with the aims and principles of the preamble of the C&BL.

Duties of the Branch Membership and Retention Committee; The primary duty of this committee is to devise ways and means of increasing FRA membership, improving membership retention and publicizing the aims and purposes of the Fleet Reserve Association among eligible potential members. The chairman will make a report at the membership meeting and at the end of the fiscal year. Make all written reports and place in folder provided.

Duties of the Branch Hospital, Welfare, and Rehabilitation Committee; To foster and maintain good relations between the FRA and the hospitals, to extend praise to those units that have rendered outstanding service and to investigate allegations that shipmates and dependents are not receiving full benefits of existing laws and regulations. This committee should investigate all incidents involving a need for welfare assistance. When the need for assistance is beyond the capacity of the local Branch, the Branch President makes a report to the Regional Chairman and Regional President with appropriate recommendations. The committee will keep the Branch abreast of shipmates and families that are ill or hospitalized.  

Duties of the Branch Finance, Audit, and Investments Committee; The primary duty of this committee is to audit the books quarterly by the Branch Board and shall be signed by the members of the Board. A verbal report shall be made to the members at the next regularly scheduled meeting.

 

 

 

Duties of the Branch Building and Grounds Committee; To continually monitor the appearance and condition of the FRA Branch building. Ensure major equipment maintenance, safety systems, and roof is maintained in good repair. To make improvements and repairs when necessary and report deficiencies to the Branch membership.

Duties of the Branch Americanism-Patriotism Committee; To honor the flag of the United States of America; to observe the anniversary of significant events in our history, to work in and encourage the participation of others in civic programs and to foster the principles of our founding fathers as expressed in the Constitution of the United States of America. Committees on Americanism Essay contest shall conduct an Americanism Essay each year, in accordance with the provisions of the standing Rule page S-35 C&BL. The Americanism-Patriotism committee shall encourage the regions and branches to honor our departed shipmates in the manner so eloquently expressed in the Preamble to the Constitution of the Fleet Reserve Association and in the appropriate rituals for such solemn occasions. Guidance should be provided on how such activities should be conducted in conjunction with community observances whenever possible.

Duties of the Branch Legislative Committee; The primary duty of this committee is to diligently study legislation pending in the House of Representatives and the Senate of the United States, which may effect the personnel of the Navy, Marine Corps, Coast Guard (Active, Reserve, Retired) and their dependents. The committee shall implement and pursue the legislative program approved by the National Board of Directors and the National convention. The chairman shall make a report to the membership on legislative accomplishments.

Duties of the Branch Youth Activities Committee; To study various methods by which the members may best serve the youth in their community to the end that these young people may be properly guided in their endeavors and to solicit the full cooperation of all members in assisting the carrying out these duties.

Duties of the Annual Picnic Committee; Be responsible for setting up picnic grounds and all arrangements for food, etc. Make up the menu ( get approval from membership). Printing of admission tickets, (get approval from membership on cost of admission), selling of admission tickets, printing of advertisements and placing them in public areas.  

SECTION 808: The Branch President is a member, Ex Officio, of all the committees.

                                                      CONSTITUTION AND BY-LAWS OF CLUB 124, INC.

ARTICLE I

Section 101 The name of this organization as granted within the Certificate of Incorporation of the State of New Jersey, is Club 124, Inc. of FRA Branch 124, Lakehurst, New Jersey, 08733. The Club shall be operated pursuant to Section 1225 of the National Constitution and BY-Laws.

 

 

 

Section 102 The location of the principle office of this Corporation is 204 Union Avenue, in the Borough of Lakehurst, County of Ocean, in the State of New Jersey, 08733.

 

 

 

 

ARTICLE II

Section 201 PURPOSE: The purpose of this club will be for those purposes for which the corporation was formed, as set forth in it’s ARTICLES OF INCORPORATION;

Section 201(a) To forward and promote the general welfare and advancement of veterans of the United States Armed Forces and to improve, by any lawful and honorable means, their status and condition;

 

 

 

Section 201(b) To render pecuniary assistance to its members in good standing;

Section 201(c) To operate and manage a social club to encourage among its members, closer personal acquaintance and a friendly spirit of cooperation;

Section 201(d) For the purposes specified in Sections 201(a), (b), and (c); to receive donations; to receive, engage, take and hold real and personal property by gift, grant devise or bequest;

Section 201(e) To operate special events, fairs and amusements. To solicit and disburse money for carrying out and accomplishments of any of the forgoing objects and purposes and all other objects and purposes of the corporation;

Section 201(f) The enumeration of certain powers herein is not intended to exclude or diminish or in any way affect the right of the corporation to have and exercise any other power or powers than those specifically mentioned or referred to herein;

Section 201(g) No part of the net earnings of Club 124, Inc. of Branch 124, Lakehurst, NJ will be to the benefit of any private shareholder or individual, nor will any member, individual or private shareholder benefit upon ultimate distribution of Corporation assets upon dissolution.  

ARTICLE III

Section 301 MEMBERSHIP: In compliance with IRS code, Section 501(c) (19), in order to qualify as a veterans’ post or organization, two requirements must be met:

Section 301(a) The first requirement is that seventy five percent (75%) of the members of the organization (Club 124,Inc.) must be "War Veterans". For the purposes of this section, the term "War Veterans", means persons, whether or not present members of the United State Armed Forces, who have served in the Armed Forces, including Merchant Marines classified as War Veterans, in possession of a DD-214 Form during a period of war, including the Korean, Vietnam and Persian Gulf conflicts.

Section 301(b) The second requirement is that at least ninety seven and one half percent (97 ½%) of all members of the organization (Club 124), must be described in one or more of the following categories:

(I) War Veterans (must have DD-214)

(II) Present or former members of the United States Armed Forces.

(III) Cadets (including only students in college or university ROTC programs or at Armed Services Academies), or

(IV) Spouses, widows or widowers of individuals referred to in section 301(b) (I) (II) (III) of this section.

 

 

 

Section 302 MEMBERSHIP TYPES: There shall be four (4) types of membership in the Club 124, Inc. of Branch 124, Lakehurst, NJ 08733.

Section 302(a) Branch 124, Fleet Reserve Association (FRA). All members in good standing of Branch 124, FRA, comprise the voting membership of Club 124, Inc. of Branch 124, Lakehurst, NJ 08733.

Section 302(b) Unit 124, Ladies Auxiliary of the Fleet Reserve Association (LAFRA). All members in good standing of Unit 124, LAFRA, and are voting members, are members of Club 124, Inc. Lakehurst, NJ 08733.

Section 302(c) ASSOCIATE MEMBERS. Associate Members are members other than those maintaining eligibility in sections 302(a) and (b) who are bona fide veterans in accordance with the provisions of sections 301(b) (I) (II) (III) or (IV) and non veterans, not to exceed two and one half percent (2 ½ %) of the total membership in compliance with the provisions of IRS Code 501(c) (19). These members pay an initiation fee and annual dues as set by Club 124 Board of Directors (BOD). They have full voting privileges during FRA Club 124 General Meetings, but are not eligible to hold office in the corporation. Associate members must be known and sponsored by a branch member and personally appear before a Screening Committee with their sponsor. The findings of the Screening Committee are subject to approval by the Club BOD. If approved by the BOD, the membership will be for the current Club 124 fiscal year, (July to June) with an annual renewal thereafter.

Section 302(c) (1) An initiation fee and annual dues are charged associate members as set by the BOD. Dues are due on 1 July each year. Failure to pay dues by 1 August will result in a late fee as determined by the BOD. Failure to pay annual dues by 1 September will result in the Associate Member being dropped from the Club 124 rolls. Should the Associate Member dropped for nonpayment of dues desire reinstatement, he/she will be required to re-appear before the Screening Committee with a sponsor, pay an initiation fee and annual dues to regain associate membership in Club 124 of Branch 124.

Section 302(c) (2) Should a sponsor desire to withdraw his/her sponsorship of an Associate Member, the sponsor must appear before the BOD and state the reason for withdrawal of sponsorship. Associate Member involved will be notified in writing of the pending action prior to the hearing. The BOD will vote in closed session after hearing the case, deciding to:

a. Withdraw the sponsorship and terminate the membership.

b. Continue the membership.

c. Withdraw the sponsorship and the BOD sponsor the member.

d. No dues will be refunded.

 

 

 

Section 302(c) (3) In the event that a sponsor dies, moves or otherwise loses sponsorship eligibility, the BOD has the right to continue or deny Associate Membership by majority vote. In all such cases as this, the Associate Member has the opportunity to obtain a new sponsor and continue uninterrupted membership. He/she must notify the BOD Secretary of the name of the new sponsor as soon as possible.

Section 302(c) (4) At the discretion of the BOD, the surviving spouse of a deceased Associate Member may be offered the membership privileges for the remainder of the year, subject to annual renewal on 1 July each year.

Section 302(d) (intentionally left blank)

Section 303 Annual dues for Club 124 of Branch 124 will the same as FRA Branch members and provide for multi-year renewal for the fiscal year which begins 1 July and ends 30 June. Members of FRA Branch 124 and LAFRA Unit 124 are not required to pay club dues.

Section 304 EXPULSION OF MEMBERS: The BOD may, after due notice and hearing before the BOD, expel a member or suspend CLUB MEMBERSHIP privileges for violations of the rules and regulations governing Club 124 of Branch 124.

ARTICLE IV

Section 401 The Officers of Club 124, Inc., as defined in the Certificate of Incorporation, shall be:

Treasurer

Junior Past President

Board of Directors (13 members)

 

 

 

Section 401 (a) The office of Secretary/Treasurer may be a combined or separated office. When held separately, the Treasurer shall be authorized to be a signature authority on all club checks and the Secretary shall be restricted to secretarial duties only.

Section 402 Elections shall be held annually on the last Tuesday in April. Members shall be elected for a term of two (2) years, with the exception of President and Vice President, which will be one (1) year. In order to establish continuity and sound business judgments, the terms of the Board of Directors shall be staggered so there shall be five (5) vacancies at each annual election.

Section 403 Any elected officer of Club 124, Inc., may be removed from office for failure to perform the duties of his/her office. Such removal shall be by two thirds (2/3) vote of the Board of Directors of Club 124, Inc. The Board of Directors is authorized to define, in each case, what constitutes failure to perform the duties of said office.

Section 404 Candidates for membership on the Board of Directors of Club 124, Inc. must be members of Club 124, Inc. in good standing under eligibility requirements specified under Article III, Section 302(a) (b).

Section 405 The President and Vice President shall be elected from the Board of Directors, by the Board of Directors, for a term of one (1) year. The election shall take place annually following the election of the Board of Directors. The incumbents will serve the remainder of their term, if any, as a member of the Board of Directors. The Secretary and/or Treasurer shall be elected by the Board of Directors, from the Board of Directors, for a term of two (2) years.

Section 406 In the event a vacancy occurs in the office of the President, the Vice President shall fill the unexpired term.

Section 407 In the event a vacancy in the office of the Vice President, Secretary or Treasurer, the vacancy shall be filled by a member appointed by the Board of Directors, from the Board of Directors. In the event a vacancy occurs in the Board of Directors, the vacancy shall be filled by a member appointed from the general membership, by the Board of Directors.

Section 408 When a Club 124, Inc. officer is absent from four (4) club or scheduled Board of Directors meetings without a valid excuse, as determined by the Board of Directors, his/her office shall be declared vacant by the presiding officer and Article IV, Section 406 or 407 complied with.

Section 409 Club 124, Inc. officers who find they cannot properly perform the duties of their office, should resign for the best interest of Club 124, Inc.

Section 410 Any BOD officer having a special relationship with a regular or associate member, in which that regular or associate member is under judgment for alleged violation of Club 124 Standing Rules, and such special relationship is likely or may be perceived as inhibiting an unencumbered objective judgment, should recluse himself/herself from such deliberations.

ARTICLE V

Meetings

Section 501 Club 124, Inc. shall hold not less than one (1) General and one (1) Board of Directors meeting each month in the club home, 204 Union Avenue, Lakehurst, NJ 08733

Section 502 Quorums for a regularly scheduled Club 124, Inc. general meeting shall consist of a majority of the club members present, and two (2) officers. The officers shall be the President, Vice President, Secretary, Treasurer or Junior Past President. All club members present shall have one (1) vote on matters that concern the FRA Club 124, Inc.

Section 503 Meetings of the Board of Directors shall be called by the presiding officer not less than once a month at the Branch home. Upon a request of the majority of the Board of Directors or if the presiding officer deems it advisable, additional meetings of the Board of Directors shall be held. Executive sessions, if necessary, shall be held after the regular scheduled Board of Directors meeting.

Section 504 Quorums for the Board of Directors meeting shall consist of a majority of it’s members, two (2) of which shall be the President, Vice President, Secretary, Treasurer or Junior Past President.

Section 505 Members of Club 124, Inc. and invited guests may attend meetings of the Board of Directors, except when said Board of Directors is in executive session. They may have a voice in the Board of Directors meeting, when recognized by the presiding officer, but under no circumstances shall they have a vote in the proceedings.

Section 506 Regularly scheduled Club and Board of Directors meetings, including executive sessions, shall be conducted under the rules set forth in Robert’s Rules of Order, Newly Revised.

ARTICLE VI

Finances

Section 601 All bank accounts, bonds and securities, property and goods, insurance policies, fidelity bonds and any and all valuables belonging to Club 124, Inc. shall be registered in the name of Club 124, Inc. and all business transactions of whatever nature shall be transacted in the name of Club 124, Inc.

Section 602 All funds belonging to Club 124, Inc. and documents which deserve a high degree of security, are to be deposited in a bank or banks. Said bank or banks to be designated by the Board of Directors of Club 124, Inc.

Section 603 All disbursements shall be made by properly drawn checks signed by the Club Manager or Treasurer and countersigned by the Club President or Vice President. Checks shall not be drawn to cash. Checks shall not be signed and countersigned by the same person.

Section 604 The Board of Directors is authorized to disburse funds in the interest of Club 124, Inc. using sound business practices and good financial judgment.

Section 605 The books of Club 124, Inc. shall be audited quarterly by the Club 124, Inc. Auditing Committee and signed by said committee. A verbal and written report shall be made by the committee to the members at the next regularly scheduled Club 124, Inc. meeting of this audit.

ARTICLE VII

Responsibilities

Section 701 It shall be the duty of the Board of Directors to:

a Ensure that the objects of the Club 124, Inc. are maintained.
b To form the policy and manage Club 124, Inc.
c To be the employer of the corporation.

Section 702 (intentionally left blank)

Section 703 Club 124, Inc. will comply with all federal, state and municipal laws.

 

 

Section 704 All Club 124, Inc. assets will be turned over to FRA Branch 124 upon dissolving Club 124, Inc.

Section 705 Club 124, Inc. President will establish written Standing Rules and Regulations governing the operation of Club 124, Inc.

ARTICLE VIII

Committee Appointments

Section 801 Upon election and not later than the next scheduled general Club 124, Inc. meeting, the President shall appoint the following committees:

a. Finance and Audit.

b. Judiciary

c. Club 124, Inc. Operations, Management and Promotion.

d. Any other committees as deemed necessary.

Said committees are purely advisory and investigative. The final responsibility, judgments and decisions will come from the Board of Directors.

 

 

 

Section 802 Club 124, Inc. President is a member exofficio of all committees.

Section 803 Club 124, Inc. now owns and will continue to own and retain ownership at all times, all properties and equipment now in use and/or placed in use in the future.

Section 804 No Club 124, Inc. property may be loaned or removed from the premises without the approval of an officer or member of the Board of Directors of Club 124, Inc. When property is approved and loaned out, a log book entry containing what was loaned, to who loaned, and who approved the loan and the date when property is returned.

ARTICLE IX

Club Manager

Section 901 The Club Manager shall be appointed for a term of one (1) year by the Board of Directors.

Section 902 Duties of the Club Manager are to carry out the policies of Club 124, Inc. as established by the Board of Directors.

Section 903 The Club Manager has the responsibility of paying committed bills and repair bills of an emergency nature. All other expenditures shall be approved by the Board of Directors.

Section 904 The Club Manager is responsible for replenishment of bar supplies and stock.

Section 905 The Club Manager shall make deposits of Club 124, Inc. funds in bank or banks designated by the Board of Directors of Club 124, Inc.

Section 906 The Club Manager shall make the Club 124, Inc. books available to the Auditing Committee quarterly or at such other times when directed by the Board of Directors.  

Section 907 The Club Manager is responsible for the assignment and scheduling of bartenders. Personnel, during their employment as bartenders, are subordinate to the Club Manager and Club President regardless of any other Branch/Club positions presently held. All newly assigned bartenders and the termination of bartenders will be approved by the Board of Directors.

Section 908 In the event of incapacitation of the Club Manager, the Club President shall appoint a member of Club 124, Inc. to temporarily fulfill the duties of the Club Manager.

Section 909 The Club Manager and an appointed member of the Board of Directors shall conduct an inventory of stock (saleable items) at least quarterly and submit a written report to the Board of Directors.

ARTICLE X

Amendments to Constitution and BY-Laws

Section 1001 All amendments must be submitted in writing to the Judiciary Committee of Club 124, Inc. for legality and wording.

Section 1002 All amendments must be approved by the Board of Directors of Club 124, Inc. and it shall take a two thirds (2/3) majority of the Board of Directors for approval.

Section 1003 All amendments shall be published in the "Square Knot" after approval by the Board of Directors of Club 124, Inc.

Section 1004 All amendments shall be presented to the entire membership at a regularly scheduled Club 124, Inc. meeting and must be approved by a two thirds (2/3) majority of the members present. Changes in this document will be made as they occur.

Section 1005 Any revisions to the Club 124, Inc. Constitution and BY-Laws shall be signed and dated by the Club 124, Inc. President and Secretary.

This Constitution and BY-Laws are effective 2400, MMDDYY as approved by the Board of Directors of Club 124, Inc. and at the scheduled general meeting held on MMDDYY.
